1. Agreement to Terms

Welcome to SellerRank. These Terms of Service ("Terms") govern your access to and use of our Amazon marketplace optimization platform, including our website, applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

SellerRank provides Amazon marketplace optimization tools and services, including but not limited to:

• Intelligent repricing algorithms and automation
• Inventory forecasting and management tools
• Profit analytics and financial reporting
• Listing optimization recommendations
• Multi-marketplace management capabilities
• Competitor intelligence and monitoring

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 18 years old to create an account. By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

4. Amazon Seller Central Integration

To use our services, you must connect your Amazon Seller Central account. By doing so, you:

• Authorize us to access and use your Amazon Seller Central data
• Confirm you have the authority to grant such access
• Agree to comply with Amazon's Terms of Service
• Understand that we are not affiliated with Amazon
• Accept responsibility for maintaining valid Amazon credentials

5. Subscription and Payments

5.1 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred. All fees are non-refundable except as expressly stated in our refund policy.

5.2 Free Trial

We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

5.3 Refund Policy

We offer a 30-day money-back guarantee for first-time subscribers. If you are not satisfied with our Service within the first 30 days of your paid subscription, contact us for a full refund. This guarantee applies only to the first subscription period.

6. Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Engage in any activity that could harm other users
• Use the Service for any fraudulent purpose
• Violate Amazon's Terms of Service or policies

7. Intellectual Property

The Service and its original content, features, and functionality are owned by SellerRank and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any data you provide to the Service. By using the Service, you grant us a limited license to use, process, and store your data solely for the purpose of providing the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT:

• The Service will be uninterrupted or error-free
• Results obtained from the Service will be accurate or reliable
• The Service will meet your specific requirements
• Any errors in the Service will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLERRANK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless SellerRank and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data
• All provisions that should survive termination will remain in effect

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, where appropriate, notifying you via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
